These Terms of Service (“Terms”) govern access to and use of StopSorted’s websites, Fleet portal, Admin tools, APIs, and Android application (the “Services”). By creating an account, completing checkout, or using the Services, you agree to these Terms.
If you use the Services on behalf of a company, you confirm you have authority to bind that company. “You” means you personally and that company.
1. The Services
StopSorted provides last-mile route optimisation, an Android driver app, optional live fleet visibility, and hardware-bound device licensing with fleet administration tools. Features available to you depend on your plan (fleet subscription, free trial limits, or Google Play entitlement) and on geographic coverage we have enabled for geocoding and road routing.
We may change, suspend, or discontinue features with reasonable notice where practical. Beta or experimental features may be withdrawn without notice.
2. Accounts & eligibility
You must provide accurate registration details and keep them current. You are responsible for activity under your login and for safeguarding passwords and API keys. Notify us promptly of unauthorised access.
Fleet controllers are responsible for approving or rejecting driver devices, for the accuracy of stops and customer data they load, and for complying with workplace and privacy obligations owed to their drivers and end customers.
3. Device licensing
Fleet seats are bound to approved hardware. Sharing one login across multiple phones does not create extra seats. We may refuse, suspend, or revoke devices that abuse the licensing model, reverse-engineer device checks, or circumvent billing.
If a driver replaces a phone, deactivate the old device and approve the new access request from the Fleet portal.
4. Fleet billing (Square)
Unless we agree a custom rate in writing, the standard fleet plan is AUD $69 per month including 2 devices, plus AUD $20 per month for each additional billable device. Solo / consumer pricing through Google Play is shown in the Play Store (currently listed at AUD $24.99 per month unless Google displays a local variant). Fleet pricing is shown in Australian dollars and includes GST where applicable as displayed at checkout / invoice.
Fleet plans are automatic recurring monthly subscriptions processed by Square. By completing checkout you authorise Square to charge your payment method each billing period until you cancel in the Fleet Billing tab or cancel the Square subscription. StopSorted does not store full card numbers, CVVs, or PINs.
Your use of Square’s payment services is also subject to Square’s General Terms, Payment Terms, and Privacy Policy.
Approving a phone does not by itself add a billed seat. You may remove a phone that has not started a route in the current billing month without that seat remaining on the bill. A device that starts at least one route in a billing month remains billable for that month even if later deactivated.
The first two phones that start a route in a billing month are included in the fleet plan. Each extra phone that starts a route is a separate AUD $20 per month item, charged on that first route, and then renews about a month from that day (not necessarily on the fleet plan date). The extra-phone charge must succeed before that route proceeds. Amounts already charged for the current extra-phone period are generally not refunded if you offboard it early.
You may create a fleet account without a card. Paid features that require an active subscription become available when billing is active. Running a route requires a live fleet plan and a card on file.
5. Referral program
Fleet and solo drivers may share invite links. Referees receive a first-month discount (not a free month). Referrers receive a delayed reward (fleet credit or Play deferred billing) after the referee stays on a paid subscription for the published hold period (currently 30 days). Referrals are automated; suspicious signups may be rejected. Each approved phone may only participate once. Details appear in Fleet Settings, the driver app, and our Guides.
6. Consumer / Play Store billing
Solo and consumer pricing, trials, renewals, and cancellations shown in Google Play are governed by Google Play’s terms. Our current list price for the solo monthly subscription is AUD $24.99 (Google may show a local currency equivalent). One Play subscription covers one personal device as described in the app store listing.
7. Free tier limits
Where a free try is offered, current limits are: up to 14 days from the first free run on that phone or email, one route per calendar day (UTC), and up to 10 stops on each free route. Limits are enforced server-side and are tied to hardware identity and account email to reduce abuse. We may change free-tier allowances with notice in the app or on the site.
7. Non-payment, grace, suspension & deletion
If a fleet or extra-phone renewal fails, we provide a 3-day grace period, with notices in fleet login, on the driver app, and by email, then may suspend access (the whole fleet for a failed $69 plan, or that extra phone only for a failed $20 item) until payment is restored. We may send reminder emails during grace and before account deletion workflows. You cannot delete the fleet account while a payment is in grace or the account is suspended. After published notice periods for long-unpaid accounts, we may delete the fleet account and associated operational data, subject to tax / invoice retention described in our Privacy Policy. You remain responsible for amounts owed for services already provided.
8. Cancellation
Fleet controllers may cancel from the Fleet Billing tab (or via Square). That schedules the fleet plan and extra-phone items to stop renewing; access usually continues through the paid period. Access may end sooner if you request deletion of a paid account (Square is then cancelled at period end). Fees already charged for the current period are generally non-refundable except where Australian Consumer Law or other non-excludable rights require otherwise.
9. Acceptable use
You must not: misuse the Services for unlawful deliveries or harassment; attempt to break into accounts, APIs, or infrastructure; scrape or overload the Services; upload malware; infringe others’ rights; or use the Services to track people without a lawful basis and appropriate notice.
We may suspend or terminate accounts that breach these Terms or create risk for other customers.
10. Customer data & privacy
You retain ownership of content you submit (stops, notes, company data). You grant us a licence to host and process that content solely to provide the Services. Our Privacy Policy explains how we handle personal information.
You are responsible for having rights to the personal information of end customers and drivers you upload, and for providing any notices required by law.
11. Third-party services
Navigation may deep-link to third-party apps (for example Google Maps, Waze, Sygic, Yandex). Those apps are governed by their own terms. We are not responsible for third-party apps, maps accuracy beyond our enabled coverage, mobile OS behaviour, or carrier networks.
12. Intellectual property
StopSorted, our logos, software, and documentation are owned by us or our licensors. You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription or free entitlement. You may not copy, reverse engineer (except to the extent permitted by law), or resell the Services.
13. Availability & disclaimers
We aim for reliable uptime and use rolling upgrades where practical, but the Services are provided on an “as available” basis. Routing suggestions are decision-support tools — you and your drivers remain responsible for safe, lawful driving and for verifying addresses and access conditions on the ground.
To the maximum extent permitted by law, we disclaim warranties of uninterrupted operation, perfect route optimality, or fitness for a particular purpose. Nothing in these Terms excludes guarantees under the Australian Consumer Law that cannot be excluded.
14. Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for fuel, wage, or customer-claim losses arising from route suggestions or downtime.
Where liability cannot be excluded, our aggregate liability for claims relating to the Services in any 12-month period is limited to the fees you paid us for the Services in that period (or AUD $100 if you paid nothing).
15. Indemnity
You will indemnify StopSorted against claims arising from your content, your drivers’ use of the Services, your breach of these Terms, or your violation of law or third-party rights — except to the extent caused by our wilful misconduct.
16. Account deletion
Free and Play Store users may delete in-app. Fleet controllers delete devices or the whole company account from Fleet Settings. Deletion is designed to be immediate for operational access; residual backups and tax records may persist as described in the Privacy Policy.
17. Changes to Terms
We may update these Terms. The “Last updated” date will change when we do. If a change is material, we will provide reasonable notice via the site or email. Continued use after the effective date constitutes acceptance, except where applicable law requires affirmative consent.
18. Governing law
These Terms are governed by the laws of Victoria, Australia. Courts in Victoria have exclusive jurisdiction, except that you may bring non-excludable consumer claims in any forum permitted by law.
